Welcome to FrameTail ("FrameTail," "we," "us," or "our"). By accessing or using our website, products, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
We reserve the right to update or modify these Terms at any time. Any changes will be effective upon posting to this page with an updated "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.
2. Description of Service
FrameTail provides software tools and services designed to help users build, deploy, and manage web applications and related functionality. The specific features and capabilities of the Services are described on our website and in our documentation.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, and without liability to you. We may also impose limits on certain features or restrict access to parts or all of the Services without notice or liability.

- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm FrameTail or users of the Services
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, servers, or networks connected to the Services
- Use any robot, spider, or other automatic device or manual process to monitor or copy the Services
- Introduce any viruses, trojan horses, worms, logic bombs, or other malicious or harmful material
- Use the Services to transmit spam or unsolicited messages
5. Intellectual Property
The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by FrameTail, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business purposes. This license does not include any right to:
- Resell or make commercial use of the Services or their contents
- Collect and use any product listings, descriptions, or prices
- Make derivative works of the Services or their contents
- Download or copy account information for the benefit of another party
- Use any data mining, robots, or similar data gathering and extraction tools
6. Payment Terms
Certain features of the Services may require payment of fees. If you choose to use paid features, you agree to pay all applicable fees as described on our website. All fees are non-refundable unless otherwise specified.
You authorize us to charge your payment method for all fees incurred. We may change our fees at any time by posting the changes on our website or by otherwise notifying you. Your continued use of the Services after fee changes constitutes acceptance of the new fees.
If your payment method fails or your account is past due, we may suspend or terminate your access to the Services. You are responsible for all charges incurred under your account, including applicable taxes.
7. User Content
You may be able to submit, upload, or otherwise make available content through the Services ("User Content"). You retain all rights in, and are solely responsible for, the User Content you make available through the Services.
By making any User Content available through the Services, you grant to FrameTail a worldwide, non-exclusive, royalty-free, transferable license to use, copy, modify, distribute, and display your User Content in connection with operating and providing the Services.
You represent and warrant that: (a) you own or control all rights to your User Content; (b) your User Content is accurate; (c) your User Content does not violate these Terms; and (d) your User Content will not cause injury to any person or entity.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FRAMETAIL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of or inability to access or use the Services
- Any conduct or content of any third party on the Services
- Any content obtained from the Services
- Unauthorized access, use, or alteration of your transmissions or content
IN NO EVENT SHALL FRAMETAIL'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO FRAMETAIL IN THE LAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
FRAMETAIL DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS.
10. Indemnification
You agree to defend, indemnify, and hold harmless FrameTail and its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
11. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to personal jurisdiction and venue therein.
13. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised terms.
14. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired.
15. Entire Agreement
These Terms constitute the entire agreement between you and FrameTail regarding your use of the Services and supersede all prior and contemporaneous written or oral agreements between you and FrameTail.
